// 1. Service Agreement

These Terms of Service ("Terms") govern the provision of digital marketing services ("Services") by Mcgoff Construction Services LIMITED ("Agency") to the client ("Client"). The specific scope, deliverables, and timelines of the Services will be defined in a mutually agreed upon Statement of Work (SOW), which is incorporated herein by reference.

// 2. Payment Terms

Client agrees to compensate the Agency according to the fee structure detailed in the SOW. Service fees are typically billed monthly in advance. All third-party media costs (e.g., ad spend) are the responsibility of the Client and must be paid directly to the platform or pre-paid to the Agency. Invoices are due upon receipt. Late payments may result in suspension of Services.

// 3. Legal Disclaimers & Limitation of Liability

Agency will perform the Services using a degree of skill and care consistent with industry standards. However, Agency does not guarantee any specific results, such as search engine ranking, lead volume, or revenue. The digital marketing environment is subject to change, and factors beyond the Agency's control can affect outcomes. In no event shall the Agency's liability for any claim arising from this agreement exceed the fees paid by the Client to the Agency in the one (1) month prior to the claim.

// 4. Confidentiality

Each party (the "Receiving Party") agrees to hold in confidence all proprietary and confidential information ("Confidential Information") disclosed by the other party (the "Disclosing Party"). The Receiving Party shall not disclose or use the Confidential Information for any purpose other than to perform its obligations under this Agreement.

// 5. Client Obligations

Client shall provide timely access to all necessary data, personnel, and digital assets required for the Agency to perform the Services. Client is responsible for ensuring that all content, materials, and information provided to the Agency are accurate and legally compliant.

// 6. Term and Termination

The term of this Agreement shall be as set forth in the SOW. Either party may terminate this Agreement upon thirty (30) days' written notice to the other party. Upon termination, Client shall pay for all Services rendered and expenses incurred up to the effective date of termination.

// 7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Mcgoff Construction Services LIMITED is registered, without giving effect to any principles of conflicts of law.
